Corporate/Commercial
The Corporate/Commercial Department serves business clients in areas such as contracts, corporate and partnership matters, franchising, and finance. In addition, the Department handles asset and stock-purchase agreements, mergers, buy-sell agreements and other issues relating to corporate acquisitions and dispositions. The Department's attorneys also provide advice on a range of information technology issues including intellectual property protection, and the documentation and negotiation of contracts relating to software development and hardware acquisition. This Department also maintains an employee benefits practice assisting clients in the preparation and implementation of qualified and non-qualified pension and welfare plans, 401(k), Employee Stock Option, and other profit sharing and deferred compensation plans.
The Firm's Corporate and Commercial attorneys represent local and national financial institutions in connection with both secured and unsecured commercial lending, as well as consumer credit. This representation includes all phases of lending operations from origination to collection. The firm represents creditors in a wide variety of creditor's rights matters including work-outs, foreclosures, stay litigation and complex reorganizations. Additionally, the Department has represented numerous judicially appointed receivers on behalf of lenders and agencies of the State of Maryland in the affairs of insolvent organizations.
The Firm's Corporate and Commercial attorneys also provide a broad range of legal services to Maryland's health care community. Among the services provided are those related to integrated delivery systems, group practice formation and association, shareholder agreements, employment agreements, provider and supplier contracts, mergers, joint ventures, reimbursement and contracting with third party payors. Department attorneys offer expertise in licensing and regulation of health care entities, including issues relating to credentialing and staff privileges, discipline, medical records and OSHA standards. In addition, the firm has an active practice in malpractice defense and risk management.
Members of the Corporate/Commercial Department represent clients in employment and labor law issues including wrongful termination, substance abuse and testing, employee privacy, sexual harassment, civil rights and occupational health and safety problems.
